TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the SquareOff website (the “Site”) and any related services, including the purchase of products (collectively, the “Services”). By visiting the Site or placing an order, you agree to be bound by these Terms.

If you do not agree, please do not use the Services.

1) DEFINITIONS
“SquareOff”, “we”, “us”, “our” refers to the seller operating the Site.
“You”, “your” refers to the user or customer.
“Consumer” means a customer acting for purposes outside their trade, business, craft, or profession.

3) ELIGIBILITY
You must be at least the age of majority in your place of residence to use the Services. By using the Services, you represent that you have the legal capacity to enter into a binding contract.

4) ACCOUNTS
You may choose to create an account (if available). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5) PRODUCTS, MADE-TO-ORDER WORK, AND CUSTOM PROJECTS
5.1 Product information
We aim to display product information as accurately as possible. However, minor variations may occur due to:
- handmade production,
- natural materials (e.g., wood grain/tonal differences),
- screen/display differences.

5.2 Made-to-order items
Many items are made-to-order. Production/handling time is shown on the product page and/or at checkout.

5.3 Bespoke / custom items (client specifications)
Bespoke items include any products made to your specifications or clearly personalized, including (without limitation) custom dimensions, finishes/materials chosen on request, and items produced from a client-supplied concept, drawings, files, or measurements (“Custom Items”).

For Custom Items, you are responsible for providing accurate specifications. Where approval is required (e.g., drawings/mockups/renderings), production may start only after your written approval.

6) ORDERS AND CONTRACT FORMATION
Submitting an order is an offer to purchase. A contract is formed when we accept the order and confirm it (typically via email), or when we dispatch the goods—whichever occurs first.
We may refuse or cancel an order if necessary (for example, stock issues, suspected fraud, incorrect pricing, or shipping limitations). If we cancel after payment, you will be refunded.

7) PRICES, TAXES, AND PAYMENTS
Prices are shown on the Site and may include or exclude taxes depending on your location and checkout settings.
You agree to pay the total amount shown at checkout, including shipping and any applicable taxes.

For shipments outside the European Union, import duties, local VAT, and customs/clearance fees may apply and are generally the customer’s responsibility unless explicitly stated otherwise at checkout.

8) SHIPPING, DELIVERY, AND RISK
Shipping method, estimated delivery times, and costs are shown at checkout and/or on the product page.
Delivery estimates are not guaranteed dates.

Risk of loss passes to you upon delivery to the address you provide (or upon handover to a carrier arranged by you, if applicable). Title passes upon full payment, unless mandatory law provides otherwise.

You are responsible for providing a complete and accurate shipping address. If a shipment is returned due to incorrect/incomplete address, refusal, repeated failed delivery attempts, or non-collection, reshipping costs may apply.

9) DAMAGED PARCELS AND DELIVERY ISSUES
If your parcel arrives damaged, you must:
- take photos of the outer packaging, label, and the damage,
- keep all packaging materials,
- contact us within 48 hours of delivery with your order number and photos.
We will assess the best solution case-by-case.

10) RETURNS AND RIGHT OF WITHDRAWAL (EU CONSUMERS)
10.1 Standard (non-custom) items
If you are an EU consumer buying at distance (online), you generally have a 14-day right of withdrawal starting from the day you receive the goods, except where an exclusion applies.

To exercise withdrawal, email us within the 14-day period with:
- order number,
- item(s),
- a clear statement that you wish to withdraw.

You must return the goods within 14 days from sending your withdrawal notice, unless mandatory law provides otherwise.

10.2 Condition of returned items
You may handle the goods only as needed to verify their nature and characteristics. If the returned item shows handling beyond what is necessary, the refund may be reduced for diminished value.

11) NO RETURNS / NO REFUNDS FOR CUSTOM ITEMS
Custom Items (products made to your specifications or clearly personalized) are final sale and cannot be returned or refunded, except where the product is faulty or not in conformity under mandatory consumer law.

12) RETURN SHIPPING (WHEN A RETURN IS ACCEPTED)
When a return is accepted (standard non-custom items only), return shipping is the customer’s responsibility unless we confirm otherwise in writing.

For returns, the shipment must be:
- tracked, and
- insured for the full value of the item(s).

You remain responsible for the item until it is received back at our facility. If the return shipment is lost or damaged in transit, we may be unable to process the refund.

Return instructions and the return address will be provided after your request is approved.

13) REFUNDS
Where withdrawal applies, refunds are processed within 14 days from receiving your withdrawal request. We may withhold the refund until we receive the returned goods or you provide proof of return shipment (whichever occurs first).

Refunds are generally made using the same payment method used for the original transaction, unless otherwise agreed.

14) LEGAL GUARANTEE (EU CONSUMERS)
For EU consumers, goods are covered by the legal guarantee of conformity under applicable law. If goods are faulty or not in conformity, you may be entitled to remedies such as repair, replacement, price reduction, or termination of the contract, depending on the circumstances and mandatory law.

15) INTELLECTUAL PROPERTY
All content on the Site (including text, images, designs, logos, and product designs) is owned by or licensed to SquareOff and is protected by intellectual property laws. You may not use, reproduce, distribute, or exploit any content without our prior written permission, except for personal, non-commercial use of the Site.

16) PROHIBITED USES
You agree not to:
- misuse the Site or attempt unauthorized access,
- interfere with security features,
- engage in fraudulent activity,
- violate applicable laws or third-party rights.

17) LIMITATION OF LIABILITY
To the maximum extent permitted by law, SquareOff shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue, arising from your use of the Services or purchase of products.

Nothing in these Terms limits liability for:
- fraud or fraudulent misrepresentation,
- gross negligence or willful misconduct,
- death or personal injury caused by negligence,
- any liability that cannot be excluded under mandatory law.

18) FORCE MAJEURE
We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, carrier disruptions, war, governmental actions, or customs delays.

19) DISPUTE RESOLUTION, ADR, AND GOVERNING LAW
These Terms are governed by the laws of Italy, without prejudice to mandatory consumer protections in your country of residence where applicable.

If you are a consumer, you may have the right to use out-of-court dispute resolution (ADR) mechanisms available in your jurisdiction. The EU Online Dispute Resolution (ODR) platform has been discontinued as of 20 July 2025.

20) CHANGES TO THESE TERMS
We may update these Terms from time to time. The “Last updated” date indicates when the Terms were last revised. Changes apply from the date they are posted on the Site.

21) SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
